Foreign F&B Franchisor — Malaysian Market Entry
The Situation
An international food and beverage brand sought to enter the Malaysian market through a master franchise arrangement. The client had limited familiarity with the Franchise Act 1998 and needed both registration assistance and a compliant master franchise agreement drafted within a defined commercial timeline.
What We Did
We conducted a registration readiness assessment, prepared the franchise disclosure documents to meet Registrar requirements, and drafted a master franchise agreement covering territorial rights, sub-franchising parameters, fee structures, and brand usage provisions. The registration and agreement were completed concurrently over eleven weeks.
The Outcome
Registration was approved within the standard window. The master franchisee executed the agreement within the client's target date. The brand launched its first Malaysian outlet six months later with a compliant documentation structure in place. The client has since returned for three sub-franchisee agreement reviews.
Retail Franchise — Multi-Party Territory Dispute
The Situation
A retail franchisor contacted us after two franchisees, operating in adjacent areas, raised competing territorial exclusivity claims. The original agreements contained ambiguous boundary definitions and the relationship between the parties had deteriorated to the point where both franchisees were threatening to escalate to the Registrar of Franchises.
What We Did
We advised the franchisor, conducted a dispute analysis of both agreements, and prepared a position statement setting out a proposed boundary resolution. We facilitated a three-party mediation session and drafted supplemental territory schedules for both franchisees. No Registrar complaint was filed.
The Outcome
Both franchisees signed the revised territory schedules. The franchisor avoided a Registrar complaint, which would have been a matter of public record. The franchisor subsequently engaged us to review and tighten the territory definitions in their standard agreement template to prevent recurrence.
Education Franchise — Wrongful Termination Advisory
The Situation
A franchisee operating a children's education centre received a termination notice from the franchisor alleging breach of operational standards. The franchisee disputed the factual basis of the allegations and the adequacy of the notice period given under the agreement. They approached us after receiving the notice.
What We Did
We reviewed the franchise agreement, the notice, and the underlying communications. We identified that the required cure period had not been observed and that the alleged breach had not been documented in the manner the agreement required. We responded formally to the franchisor and requested reinstatement of the agreement.
The Outcome
The franchisor withdrew the termination notice and issued a new show-cause letter following the correct procedure. The franchisee remedied the identified issues within the cure period and the agreement continued. The franchisee renewed their engagement for the following year's compliance review.
